Requirements

  • Bachelor’s degree or equivalent experience
  • Paralegal certificate required
  • 8+ years in a corporate legal department at a U.S. public company
  • Strong working knowledge of SEC reporting requirements and corporate governance processes
  • High attention to detail and excellent organizational and communication skills
  • Proven proactive self-starter with strong ownership mentality and follow-through
  • Ability to manage multiple time-sensitive priorities in a fast-paced environment
  • Experience with Workiva required

Responsibilities

  • Assist in the preparation, coordination and filing of periodic and current reports (Forms 10-K, 10-Q, 8-K) and proxy statements
  • Ensure accuracy, completeness, and compliance with SEC rules and internal timelines
  • Coordinate with internal teams and outside counsel as needed
  • Prepare and file Section 16 reports (Forms 3, 4, 5)
  • Support the planning and execution of the Annual Meeting of Stockholders
  • Assist with the planning and execution of board and committee meetings, including preparation and distribution of agendas, resolutions, minutes, and meeting materials
  • Maintain board and committee calendars and track corporate governance deliverables and requirements
  • Lead quarterly Board meeting process for U.S. regulated subsidiaries
  • Maintain the entity management system for 30+ domestic and international entities
  • Prepare resolutions, officer’s certificates and powers of attorney
  • Track and maintain corporate entity compliance, including qualifications, withdrawals and annual reporting management
  • Maintain accurate and current corporate records, including minute books, organizational documents, board materials and director/officer documentation
  • Coordinate execution, notarization and filing of legal documents.

Preferred Qualifications

  • Experience with Diligent Entity Management and Diligent Boards preferred
