Requirements
- Bachelor’s degree or equivalent experience
- Paralegal certificate required
- 8+ years in a corporate legal department at a U.S. public company
- Strong working knowledge of SEC reporting requirements and corporate governance processes
- High attention to detail and excellent organizational and communication skills
- Proven proactive self-starter with strong ownership mentality and follow-through
- Ability to manage multiple time-sensitive priorities in a fast-paced environment
- Experience with Workiva required
Responsibilities
- Assist in the preparation, coordination and filing of periodic and current reports (Forms 10-K, 10-Q, 8-K) and proxy statements
- Ensure accuracy, completeness, and compliance with SEC rules and internal timelines
- Coordinate with internal teams and outside counsel as needed
- Prepare and file Section 16 reports (Forms 3, 4, 5)
- Support the planning and execution of the Annual Meeting of Stockholders
- Assist with the planning and execution of board and committee meetings, including preparation and distribution of agendas, resolutions, minutes, and meeting materials
- Maintain board and committee calendars and track corporate governance deliverables and requirements
- Lead quarterly Board meeting process for U.S. regulated subsidiaries
- Maintain the entity management system for 30+ domestic and international entities
- Prepare resolutions, officer’s certificates and powers of attorney
- Track and maintain corporate entity compliance, including qualifications, withdrawals and annual reporting management
- Maintain accurate and current corporate records, including minute books, organizational documents, board materials and director/officer documentation
- Coordinate execution, notarization and filing of legal documents.
Preferred Qualifications
- Experience with Diligent Entity Management and Diligent Boards preferred
