Requirements

  • JD from an accredited U.S. law school. Admission to and in good standing with the state bar of at least one U.S. state.
  • 10+ years of M&A and other corporate transactional experience at a top law firm or in-house legal department.
  • Strong technical expertise in corporate legal matters and related practice areas including securities and disclosure, antitrust, accounting and tax.
  • Demonstrate superior oral and written communication and interpersonal skills, excellent drafting and negotiation abilities, and a keen attention to detail.
  • Show an ability to work independently and collaboratively and manage multiple projects in an efficient and timely manner.
  • Possess the competence, professionalism, and maturity to effectively advise and interact with senior executives and business unit leaders and have a demonstrated ability to earn their confidence and serve as a trusted advisor.
  • Exhibit excellent business judgment and strategic thinking, with a focus on taking a pragmatic, solution-oriented approach.
  • Superior relationship management skills with the ability to develop partnerships and relationships throughout the organization as well as with key external collaborators.

Responsibilities

  • Providing legal advice to support strategic and business priorities in corporate transactional activities;
  • Advising on structuring considerations and legal risks; negotiating, drafting and reviewing related legal agreements and other deal documentation; managing legal due diligence; supporting regulatory filings and approvals and securities law disclosures; and coordinating closing and post-closing integration;
  • Managing and coordinating transaction related issues such as antitrust, securities, tax and accounting, IP, employee benefit plans, employment matters and executive compensation;
  • Supporting related public and private company securities, disclosure and reporting issues;
  • Providing ongoing support for investments in the company’s portfolio;
  • Coordinating with business leaders, subject matter experts and support organizations across the company, including Accounting, Tax, Treasury, Legal, Regulatory, Compliance and Risk Management, Human Resources, Real Estate, and Corporate Communications.
