Requirements

  • Bachelor’s Degree or Equivalent years of directly related experience (or high school +13 yrs; Assoc.+9 yrs; M.S.+2 yrs; PhD+0 yrs)
  • The ability to fluently read, write, understand, and communicate in English.
  • 5 Years of Relevant Experience
  • Familiarity with web-based applications supporting legal entity management, equity tracking, insider tracking and SEC filings.
  • Experience working with governmental agencies and service companies, such as CSC, the SEC and various Secretaries of States of US States.
  • Possess an understanding of Alcon strategy, operations, and corporate structure.
  • Possess an awareness of legal risk.

Responsibilities

  • Maintain and manage the physical and online global corporate minute books of Alcon legal entities and global coordination of all Alcon corporate data, Alcon securities filings and other securities compliance matters.
  • Maintain and manage securities filing records, corporate matters related to Alcon’s strategic transactions, including M&A, and other special corporate governance projects as the need arises.
  • Assist in research, analysis, and application of substantive and procedural law, domestically and internationally, related to corporate governance and legal entities.
  • Manage and coordinate the preparation, organization and/or filing of corporate records for Alcon legal entities in domestic and foreign jurisdictions.
  • Draft stock certificates, maintain stock ledgers and oversee corporate structure for Alcon legal entities.
  • Draft secretary’s certificates, resolutions, written consents, minutes, etc., with minimal supervision.
  • Assist with and coordinate board of director and shareholder meetings for certain Alcon legal entities.
  • Coordinate with colleagues across all Alcon functions to ensure enterprise-wide understanding of Alcon legal structure and corporate requirements.
  • Coordinate certain aspects of corporate governance requirements, including D&O questionnaires, director independence tables, board/committee evaluations, etc.
  • Support the preparation, coordination, and maintenance of SEC disclosure filings, including annual, interim, and current reports, earnings releases, management transaction reports, foreign private issuer calculations, etc.
  • Assist with NYSE listed company requirements and annual and interim written affirmations.
  • Responsible for preservation, collection, and review of company insider lists, assist in coordination of company stock quiet periods, and manage the delivery of notices to Alcon insiders; and
  • Assist Corporate Secretary and Assistant Secretaries with other corporate projects, as requested.
  • Provide legal oversight for web-based applications to support legal entity management, equity tracking, insider tracking and SEC filings.
  • Take lead role in project management of various transaction-driven projects, including M&A, on an as needed basis.
  • Organize transactional document productions, such as for HSR filings, due diligence, etc., on an as needed basis; and
  • Provide assistance and support to internal legal team as required.
