Requirements
- BS/BA degree in Economics, Finance, Accounting, or any other related field.
- 10+ years of equity-related professional experience in private, pre-IPO and public global companies.
- CEP certification.
- Expert in accounting for stock-based compensation and financial reporting requirements.
- Expert in Microsoft Excel (complex modeling), PPT, Word.
- Ability to complete multiple deliverables with accuracy and speed within tight timelines.
- Strong quantitative and qualitative analytical skills – attention to detail and a keen sense of ownership are essential.
- Customer service/employee-first oriented style with ability to communicate effectively with all levels of employees and internal/external partners.
- Experience with Shareworks, Workday, and ServiceNow.
Responsibilities
- Own the design, management, and administration of equity plans globally (options, RSUs, PSUs and ESPP), including eligibility, enrollment, preparation of equity grant recommendation submissions, processing vesting, exercises and settlements, tax withholdings, lock up restrictions, expirations, cancellations, repurchases, terminations and other plan-related actions.
- Ensure compliance with all relevant domestic laws and regulations regarding income and tax withholdings and reporting for stock awards.
- Partner with Finance, Legal, Payroll, and HR to develop processes which ensure the accuracy of all equity data, including all aspects of record-keeping with stock plan database, reporting, reconciliation, and auditing.
- Ensure database integrity, and accuracy of record keeping of employee data and equity data in the stock administration system (Shareworks).
- Model share utilization for annual review cycles, new hires, attrition, promotions, M&A, etc. Create annual share spend budget.
- Manage relationships with transfer agents, brokers, and other vendors involved in stock plan administration.
- Help with preparation of equity-related materials for the Board and Compensation Committee meetings.
- Train employees to understand the value of equity and plan terms and prepare employee communications.
- Provide a superior level of service in response to inquiries from employees, management, and others.
- Reconcile monthly equity activity, including shares outstanding, share reserves, cancellations, and share pool balance.
- Provide employee stock-related input to quarter end and annual reporting: Forms 3, 4 and 5 filings; data for 10-Q, 10-K, Proxy Statements and D&O questionnaires.
- Provide the information for filing of section 16 filings (e.g., Form 4s) for section 16 officers and directors.
- Ensure approved procedures are followed to meet compliance with SOX.
