Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in the relevant jurisdiction (in good standing).
- Minimum of five years of experience as a practicing attorney, with a strong focus on M&A, corporate law, or related fields, preferably in a law firm environment.
- Proven track record of successfully managing and executing M&A transactions.
- Hands-on experience in conducting legal due diligence, drafting and negotiating transaction documents, and managing legal compliance.
- Strong analytical and problem-solving skills.
- Excellent negotiation and communication skills.
- Ability to manage multiple projects and priorities simultaneously.
- Strong leadership and team management skills.
- Proficiency in legal research and analysis.
- High attention to detail.

Responsibilities
- Provide legal advice and support on all M&A transactions, including deal structuring and risk assessment.
- Advise legal leadership on legal implications of potential acquisitions and divestitures.
- Oversee the legal due diligence process for potential acquisitions.
- Working with outside counsel, identify and assess legal risks and liabilities associated with target companies.
- Review and analyze contracts, corporate documents, and other relevant materials.
- Coordinate with outside counsel and other specialists, such as securities counsel, tax attorneys, antitrust lawyers, employment law specialists, accountants, investment bankers, and insurance brokers.
- With the support of outside counsel, draft, review, and negotiate transaction documents, including letters of intent, purchase agreements, merger agreements, and ancillary documents.
- Ensure that transaction documents accurately reflect the agreed-upon terms and protect the company’s interests.
- Assist with legal support for the integration of acquired companies, including contract novations, and compliance matters.
- Assist in resolving any legal issues that arise during the integration process.
