Requirements
- JD from an ABA accredited law school.
- 5+ years’ of practicing law, including significant experience in negotiating contracts.
- Computer expertise, including expertise in Word and Excel.
- Excellent business judgment.
- Excellent oral and written communication skills.
- Professional, confident, enthusiastic and detail-oriented.
- Ability to coordinate and maintain follow-up on a number of projects simultaneously.
- Strong negotiation skills and the ability to spot legal issues and think quickly under tight deadlines.
- Strong understanding of a legal specialty area and commitment to client service.
- Ability to render practical legal advice and assess risk in the context of reward to the company.
- Ability to prioritize changing workloads.
- Demonstrate initiative and be a self-starter.

Responsibilities
- Tracking, drafting, revising, and negotiating complex non-standard agreements, including services agreements, statements of work, order forms, non-disclosure agreements, business associate agreements, partner/alliance agreements and other commercial agreements.
- Provide counseling and legal guidance to other associates reviewing and negotiating agreements.
- Ensure contracts comply with federal, state and local laws.
- Ensure compliance with Protiviti/RHI policies, procedures, and practices.
- Intensive interaction with both in-house clients and external customers.
- Communicate company and legal department policies and approval processes for non-standard contractual terms to in-house clients.
- Assist clients in articulating and obtaining approvals for non-standard contractual terms.
- Continuously improve Protiviti’s/RHI’s client contracting process to ensure their competitiveness in the marketplace.
- Train (and create the training for) field personnel on the skills necessary to facilitate the quick and efficient closing of client contracts while protecting and preserving the legal, ethical and financial integrity and reputation of Protiviti/RHI.
- Support and lead the continuous improvement of standard form agreements and legal and approval processes, as well as training on such topics.
- Advise and work with senior leaders of the department, and senior executive management, to develop, adopt, review and analyze key Protiviti/RHI policies related to client contracts.
