Requirements

  • Minimum of 5 years of experience as a corporate paralegal, with a strong focus on public company governance, SEC filings, and corporate entity management.
  • Bachelor’s degree and/or Paralegal Certificate from an ABA-accredited program required.
  • Solid understanding of corporate governance, SEC reporting requirements, and public company compliance obligations.
  • Proficiency with legal and contract management tools (e.g., Diligent, DocuSign, Ironclad, or similar platforms).
  • Strong organizational skills with a keen attention to detail and ability to manage multiple projects simultaneously.
  • Excellent written and verbal communication skills with the ability to interact confidently and professionally with internal stakeholders and external counsel.
  • High level of integrity, discretion, and professionalism in handling sensitive and confidential information.

Responsibilities

  • Assist in preparing and maintaining corporate records, including Board of Directors and committee meeting materials, resolutions, and meeting minutes.
  • Support the preparation and filing of SEC reports, including Forms 8-K, 10-Q, 10-K, and proxy statements, in coordination with outside counsel and internal stakeholders.
  • Maintain corporate entity database and ensure timely filing of annual reports and other required corporate documents across jurisdictions.
  • Help manage insider trading compliance, Section 16 filings (Forms 3, 4, 5), and related recordkeeping.
  • Track and maintain compliance calendars for key corporate and securities law deadlines.
  • Assist with the review, drafting, and redlining of routine contracts, including NDAs, vendor agreements, and service contracts under attorney supervision.
  • Manage the contract lifecycle process from initiation to execution and renewal, ensuring proper approvals and documentation.
  • Maintain and organize the company’s contract repository, ensuring records are complete, current, and easily accessible.
  • Support business teams in responding to contract-related inquiries and tracking key contract terms and obligations.
  • Develop and maintain legal department systems, processes, and tools to drive operational efficiency and scalability.
  • Coordinate with outside counsel and manage legal billing, accruals, and matter tracking systems.
  • Support cross-functional initiatives, including compliance, ESG reporting, risk management, and internal audits.
  • Assist in legal team reporting, budgeting, and vendor management.

Preferred Qualifications

  • Experience supporting a legal team within a public company or at a law firm with public company clients strongly preferred.
