Requirements
- 7–10+ years of legal experience, with a strong track record in B2B SaaS commercial contracting and corporate transactions.
- Deep knowledge of SaaS contracting, data privacy, IP, and deal structuring, with experience supporting enterprise sales cycles.
- Experience operating in-house at a scaling tech company, ideally venture-backed.
- Demonstrated ability to create legal infrastructure and processes from the ground up.
- Strong business acumen; able to weigh risk pragmatically and partner with GTM, finance, and product teams to drive results.
- Familiarity with tools that support contract lifecycle management (CLM), e-signature, AI-assisted review, and legal knowledge bases.
- Licensed to practice law in the U.S., ideally in NY or CA (or equivalent common law jurisdiction).
Responsibilities
- Serve as Enable’s first in-house legal counsel, providing expert counsel on a broad range of issues including commercial transactions, corporate governance, equity, compliance, and risk.
- Own and manage the full lifecycle of customer-facing SaaS contracts, as well as partner, reseller, and enterprise agreements.
- Develop scalable contracting frameworks and workflows, leveraging AI-enabled tools and legal automation to streamline legal operations.
- Proactively improve the speed and efficiency of the sales cycle and enterprise deal processes without compromising risk mitigation.
- Support M&A activity, corporate structure management, and board governance—including reviewing and drafting board minutes and resolutions.
- Collaborate with revenue leaders (Sales, Partnerships, Customer Success) to negotiate and close strategic deals efficiently.
- Provide guidance on intellectual property, privacy regulations, data protection (including residency), and cross-border data transfer compliance.
- Oversee legal aspects of equity compensation, option plan management, and the cap table in coordination with Finance and external counsel.
- Manage and optimize outside counsel relationships across regions (NAMER, UK, ANZ) to ensure cost-effective, high-quality legal support.
- Champion a tech-forward, AI-integrated legal approach that increases productivity and creates competitive advantage in how Enable manages legal work.
Preferred Qualifications
- Experience reviewing SaaS contracts from the buy-side (e.g., as counsel in a procurement function) is also valued.
- Familiarity with Canadian, UK, Australian, and/or New Zealand legal environments is a strong plus.
- Background in working directly with investors, boards, and global stakeholders.
