Requirements

  • Juris Doctor degree from an accredited law program
  • Admission to practice in New York
  • 5+ years of investment funds and/or broker-dealer regulatory experience with at least 4 years of rigorous law firm experience
  • Deep understanding of offering and governance documents (PPMs, subscription agreements, governing documents) for complex structures
  • Experience with registered investment funds and/or private investment funds, understanding of the fundamentals of the Investment Company Act and its exemptions
  • Exceptional communication skills that foster clear understanding of complex subjects
  • Collaboration and negotiation skills that build trust and strong relationships

Responsibilities

  • Play a key role in delivering quality investment opportunities to Crowd Street investors
  • Negotiate brokerage and services agreements for the distribution of private equity, venture capital and other private investment funds to high net worth investors, with a particular focus on non-traded 40 Act funds
  • Ensure securities offerings conform to Crowd Street standards and regulatory requirements, including compliance with the securities rules and regulations and FINRA rules, particularly the application of Reg D and Rule 2210 with respect to accredited investors (non-institutional)
  • Negotiate partnership and operating agreements and private offering documents, including private placement memorandums, operating agreements, and subscription agreements, working closely with our investments, investment performance, and marketplace operations teams
  • Draft fund formation documents, including private placement memorandums, operating agreements, and subscription agreements for proprietary investment vehicles
  • Support investor relations and marketing in drafting external communications
  • Manage complex matters independently, prioritizing multiple open matters and fast-paced processes
  • Serve on cross-functional teams to support innovation and corporate initiatives
  • Use excellent communication skills, knowledge, and judgment to regularly assess, advise, and recommend solutions to complex challenges
