Requirements

  • J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction.
  • 10+ years of relevant legal experience, with a strong focus on technology transactions, SaaS agreements, and enterprise sales.
  • Experience working in-house at a technology company (preferably in a high-growth or SaaS environment).
  • Deep understanding of intellectual property licensing, commercial contract negotiation, and complex transactions.
  • Proven ability to lead and mentor a team while also acting as an individual contributor.
  • Strong business acumen with the ability to balance legal risk and business objectives.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to thrive in a fast-paced, dynamic environment with competing priorities.
  • Willingness to accommodate colleagues and customers in different time zones around the world.

Responsibilities

  • Negotiate and Close Complex Deals – Lead negotiations for strategic, high-value enterprise contracts, including SaaS agreements, professional services contracts, and strategic partnerships.
  • Team Leadership & Mentorship – Provide guidance and oversight to a small team of attorneys and contract specialists while also serving as an individual contributor.
  • Strategic Business Partner – Collaborate closely with Sales, Customer Success, Finance, and other cross-functional teams to develop innovative legal solutions that drive revenue.
  • Intellectual Property & Licensing – Ensure proper structuring of IP licensing, data usage rights, and ownership provisions in contracts.
  • Risk Management & Compliance – Advise on legal risks, contract structures, and regulatory requirements affecting software and technology sales.
  • Process Optimization – Improve contract workflows, playbooks, and templates to streamline deal velocity and efficiency.
  • Dispute Resolution & Governance – Address escalations, contract disputes, and policy considerations related to customer relationships.
