Requirements

  • JD from an accredited law school and active membership in at least one U.S. state bar.
  • 8+ years of experience in securities compliance and corporate governance, with public company and/or law firm experience.
  • Strong working knowledge of SEC regulations, Nasdaq requirements, and corporate governance best practices.
  • M&A experience, including due diligence and drafting and reviewing transaction agreements.
  • Exceptional organizational skills with the ability to manage multiple priorities.

Responsibilities

  • Support General Counsel in overseeing corporate governance, including board and committee meeting preparation, Nasdaq compliance, and annual meeting preparation.
  • Draft and review board materials, resolutions, and corporate policies to align with best practices.
  • Support shareholder engagement initiatives and cash and equity incentive programs.
  • Manage all aspects of legal entity management, including maintaining corporate records and overseeing subsidiary compliance.
  • Stay current on SEC reporting requirements and corporate governance developments and trends, including the views of institutional shareholders and ISS/Glass Lewis as they are relevant to the Company.
  • Partner with Director of SEC reporting on drafting and reviewing 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings.
  • Collaborate with finance and investor relations on disclosure controls, earnings calls, and investor presentations.
  • Ensure compliance with insider trading policies and provide guidance to executives and employees through trainings and communications.
  • Work closely with the General Counsel and other team members to align legal strategies with business goals.
  • Assist with other corporate matters as needed, including equity management and entity maintenance.
  • Lead projects in new areas of the law that interest you.
  • Act with integrity and demonstrate an unwavering commitment to compliance with to the letter and spirit of the Evolv Code of Business Conduct & Ethics and other company policies as well as all applicable laws and regulations.

Preferred Qualifications

  • Experience bringing securities compliance and corporate governance functions in-house.
  • Collaborative, solution-oriented mindset with excellent communication skills.
  • M&A experience preferred, including due diligence and drafting and reviewing transaction agreements.
