Requirements
- JD Degree from an accredited law school and be admitted to practice in one or more states (Indiana not required)
- Minimum of 5 – 7 years of experience
- Strong knowledge of financial and commercial transactions, corporate governance and real estate transactions
- Excellent negotiation, drafting, and analytical skills
- Proven ability to manage multiple projects and prioritize effectively
- Strong interpersonal and communication skills, with the ability to work collaboratively with internal teams and external stakeholders
Responsibilities
- Assist with structuring and negotiating legal documents in connection with financing, debt, equity and hybrid transactions
- Advise on equity investment structures and characteristics
- Review and analyze financial documents and agreements
- Provide legal support throughout transaction life cycle; manage due diligence, advise on structuring, negotiation and effectuation of closing and operational integration of joint ventures, partnerships, mergers, acquisitions and similar transactions
- Advise on domestic and international structuring issues
- Provide legal support for real estate transactions, including acquisitions, dispositions, leasing, and development projects
- Oversee due diligence and manage legal risks associated with real estate deals
- Identify potential legal risks and develop strategies to mitigate them
- Handle legal disputes, litigation, and regulatory investigations as needed
Preferred Qualifications
- Familiarity with tax, accounting and financial reporting preferred
- Understanding of corporate governance and compliance matters (e.g., strong familiarity with documents such as bylaws, resolutions, consents and meeting minutes)
