Requirements

  • JD degree and at least one state bar admission in good standing
  • A minimum of 4 years of experience in general corporate matters, with a demonstrable history of supporting mergers and acquisitions, investments, partnerships and commercial contract negotiations
  • A desire to work in a fast-paced, high-energy environment with exceptional organizational and planning skills, capable of handling multiple high-visibility projects simultaneously
  • Strong working knowledge of corporate governance rules and standards
  • Strong negotiation skills and the ability to work collaboratively and effectively with internal and external stakeholders
  • Demonstrated business and financial acumen with a voracious learning mindset
  • Excellent communication skills

Responsibilities

  • Manage, in coordination with the Assistant General Counsel, transactions from start to finish, including drafting term sheets, organizing and managing the due diligence and closing processes, drafting definitive transaction documents, working cross-functionally with business leaders to prepare for closing, executing the closings, and supporting post-closing integration processes
  • Work alongside the Senior Corporate Commercial Counsel in drafting, reviewing and negotiating contracts and ancillary agreements with cross-functional teams, including NDAs, customer contracts, supplier and vendor agreements, IT and software agreements, bid documents, and various other documents
  • Work closely with the Strategic Investments team to drive execution of business strategy and underwrite investment opportunities, including supporting M&A, investments, strategic partnerships and licensing agreements
  • Coordinate with regulatory and compliance team leaders to help adapt the corporate strategy to evolving regulatory and compliance standards, rules and regulations across national footprint
  • Provide corporate governance support, including entity formation, preparing written consents and resolutions, assisting paralegals and compliance professionals in managing the corporate books and records for the Company and its subsidiaries to ensure strict corporate governance standards are met
  • Assist business clients with contract and other commercial disputes that may arise, working with appropriate legal colleagues and directly with outside counsel, as needed
  • Provide practical legal advice to internal stakeholders in various departments, including procurement, sales, marketing and IT, on a variety of issues to facilitate operational decision-making and strategic planning
  • Support preparation of deal-related materials for executive leadership teams and participate in meetings as necessary
  • Perform special assignments, without significant supervision, as assigned by Assistant General Counsel
