Requirements
- Undergraduate and law degree from an ABA accredited law school
- Active membership in at least one U.S. state bar with 7+ years of experience in mid- to large-sized law firm and/or in house roles
- Minimum 5 years of experience drafting and negotiating complex technology, software, SaaS, professional service, business development and other commercial agreements
- Extensive experience with U.S. privacy laws and contributing to privacy compliance
- Strong critical thinking, business acumen, and excellent judgment
- Ability to work independently, manage multiple priorities, and adapt in a fast-paced, high-growth environment
- Exceptional drafting and legal technical skills with a keen eye for detail
- Comfortable providing legal guidance on short timelines with limited information and executing business decisions involving legal risks
- Exemplary integrity and business ethics, with the ability to maintain confidentiality of sensitive information
Responsibilities
- Draft, review and negotiate complex technology, software, SaaS, digital and channel marketing agreements, distribution and referral marketing agreements, technology licensing agreements, test agreements, day to day technology and facilities agreements, engagement letters, professional service, business development and other commercial agreements, including data privacy/data security agreements, requests for proposals (RFPs), and NDAs
- Negotiate and draft agreements related to strategic partnerships, joint development, IP acquisitions, and privacy matters
- Review and make recommendations for negotiating Master Services Agreements, new SOWs, renewals, and amendments with current vendors and assist with onboarding of new vendors
- Serve as subject matter expert with respect to state and federal privacy and consumer protection laws, draft privacy notices and other consents, provide high quality and timely data privacy and information security related advice to internal stakeholders and offer pragmatic actionable guidance and solutions on the application, impact and implementation of applicable privacy and data protection laws
- Partner with product managers, data scientists, and engineers to support app development, e-commerce, digital marketing, and partnership relationships, by advising on security and privacy matters
- Collaborate with business partners and provide strategic legal and business advice to facilitate long-term relationships with key business partners
- Develop and enhance internal legal policies, compliance programs, and legal playbooks
- Act as a trusted advisor on general legal matters including key risks and strategies
- Manage numerous projects and complex matters simultaneously while meeting deadlines
- Work cross-functionally with finance, compliance, business development, engineering, product, and other teams to drive business results
Preferred Qualifications
- Impeccable academic credentials (top 10%), law review, and clerkship, preferred
- Experience at high-growth tech company greatly preferred
- Relevant technical certifications such as a Certified Information Security Manager (CISM), Certified Information Systems Security Professional (CISSP), or Certified Information Privacy Professional (CIPP) or other relevant certifications offered by the International Association of Privacy Professionals greatly preferred
- Preferred passion and experience in Fintech, with a desire to learn more about the industry
