Requirements
- Strong foundational knowledge coupled with a passion for the blockchain space.
- 4+ years of transactional experience in top-tier law firms or crypto-focused companies.
- Strong critical thinking and strategic problem-solving skills.
- Experience negotiating ISDA Master Agreements and/or structured loan agreements.
- Ability to thrive under pressure and in a fast-paced, high-tempo environment.
- Highly motivated, self-starter who takes initiative;
- Positive attitude, and willingness to roll up sleeves (no job too big, no job too small);
- Ability to think creatively and propose commercially pragmatic solutions;
- Excellent written and oral communication skills.
- Member in good standing of the New York State Bar.
Responsibilities
- Provide senior level legal contractual advice relating to derivatives legal documentation and guidance to businesses partners on issues, including those of broad impact or risk.
- Independently review and negotiate complex ISDA Master Agreements and Credit Support Annexes with parties who may be represented by counsel, senior executives and/or derivatives advisors.
- Review and negotiate complex bilateral digital asset loan agreements.
- Liaise with Credit and Trading/Sales to accurately reflect in agreements the necessary credit and business terms of the relationship.
- The desire and capacity to learn how to negotiate various Galaxy trading and lending documentation;
- Meticulous attention to detail
- Proactively identify and address legal risks associated with derivative activities, providing strategic solutions to enhance risk control.
- Strong time management, judgment, decision-making and problem solving skills
- Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate;
- Draft and negotiate non-disclosure agreements;
- Stay informed on industry trends, regulatory updates, and emerging technologies.
- Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy; and
- Help with other special corporate projects and such other activities as may be assigned.
Preferred Qualifications
- Knowledge of the regulatory treatment of digital assets.
- Product knowledge and transactional or regulatory experience with trading and lending products generally.
- Experience in data privacy, IP law and the use and provision of technology in the context of Technology & Managed Services Agreements.
